These COASISIQ™ Platform License & Access Terms (the “License Terms”) govern access to and use of the COASISIQ™ platform provided by Conversion Is Key (“Conversion Is Key,” “we,” “us,” or “our”). By selecting “Agree & Continue,” or by accessing or using the platform, you (“Customer,” “you,” or “your”) agree to these License Terms on your own behalf and on behalf of any organization you represent.

1. Ownership of the Platform

COASISIQ™ is proprietary technology owned by Conversion Is Key. The platform includes, without limitation, its architecture, software, source and object code, databases and data structures, security and permission systems, migrations, update packages, templates, reusable components, workflows, methodologies, documentation, cross-site and multi-site capabilities, trademarks, and all related intellectual property (collectively, the “Platform”). All right, title, and interest in and to the Platform, including all improvements and updates, remain exclusively with Conversion Is Key and its licensors.

2. License Grant

Subject to your compliance with these License Terms and any applicable order, subscription, or service agreement, Conversion Is Key grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes and only within the features, entitlements, and permissions assigned to your account.

3. No Sale or Transfer of Ownership

Access to the Platform is licensed, not sold. No sale, assignment, or transfer of the Platform or any Platform intellectual property occurs because you have a website, an account, administrative access, or site-control privileges. Administrative authority over your site does not convey ownership of, or any rights beyond this license in, the Platform’s architecture, reusable software, systems, security, migrations, packages, methodologies, cross-site capabilities, or other protected Platform technology.

4. Your Content and Site Presentation

As between you and Conversion Is Key, you retain your applicable rights in and control over the business content you are authorized to provide for your site, such as your text, images, logos, business information, and site-local presentation choices (“Customer Content”), subject to these License Terms and any applicable agreement. You grant Conversion Is Key a non-exclusive license to host, store, reproduce, display, and process Customer Content as needed to operate, secure, support, and improve the Platform and to provide the services you request. You are responsible for ensuring that you have the rights necessary to use Customer Content and that it complies with applicable law.

5. Authorized Users and Permissions

Authorized users of your organization may manage site-local content and presentation only according to the roles, permissions, and entitlements assigned to them. You are responsible for the actions of your authorized users, for assigning access appropriately, and for promptly removing access for individuals who should no longer have it.

6. Account Security and Authorized Use

You must keep login credentials confidential, use secure passwords, and not share accounts. You must notify Conversion Is Key promptly of any suspected unauthorized access or security incident. You agree to use the Platform only for lawful purposes and in accordance with these License Terms, the Terms of Service, and any documentation we provide.

7. Restrictions

Except as expressly permitted in writing by Conversion Is Key, you will not, and will not permit others to:

  • copy, modify, or create derivative works of the Platform;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, data structures, or underlying methods of the Platform, except to the extent such restriction is prohibited by applicable law;
  • sell, resell, rent, lease, distribute, sublicense, or otherwise commercially exploit the Platform or make it available to third parties;
  • bypass, disable, or interfere with security features, access controls, permissions, or entitlements, or access data or features you are not authorized to use;
  • use the Platform to build a competing product or service; or
  • remove or obscure any proprietary notices or trademarks.

8. Platform Availability, Changes, and Updates

Conversion Is Key may update, enhance, modify, or discontinue features of the Platform from time to time. We use reasonable efforts to keep the Platform available but do not guarantee uninterrupted or error-free operation, and scheduled or emergency maintenance may occur. We may revise these License Terms; each revision is identified by a version number and effective date. When a revision is a material change, you will be asked to review and accept the updated terms before continuing to use the Platform.

9. Suspension and Termination

Conversion Is Key may suspend or limit access, in whole or in part, if reasonably necessary to protect the security or integrity of the Platform, to address a violation of these License Terms, to comply with law, or for non-payment under an applicable agreement. Your license ends when your account or applicable agreement ends, or if these License Terms are terminated. Upon termination, your right to access the Platform ceases. Where reasonably practicable and consistent with any applicable agreement, we will provide an opportunity to obtain a copy of your Customer Content. Sections that by their nature should survive termination will survive.

10. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available,” and Conversion Is Key disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Conversion Is Key does not guarantee any particular business result, traffic, ranking, lead volume, or revenue from use of the Platform.

11. Limitation of Liability

To the maximum extent permitted by law, Conversion Is Key will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Platform or these License Terms. Conversion Is Key’s total liability for any claim relating to the Platform or these License Terms will not exceed the amounts you paid to Conversion Is Key for the Platform during the twelve (12) months preceding the event giving rise to the claim.

12. Relationship to Other Terms

These License Terms supplement the Conversion Is Key Terms of Service and Privacy Policy, which also apply to your use of the Platform. Personal information is handled as described in the Privacy Policy. If these License Terms conflict with the Terms of Service regarding the Platform, these License Terms control as to the Platform, unless a separate signed agreement between you and Conversion Is Key expressly provides otherwise.

13. General

You may not assign these License Terms without the prior written consent of Conversion Is Key. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver. These License Terms, together with the documents referenced above and any applicable signed agreement, constitute the entire agreement regarding access to the Platform.

14. Electronic Acceptance

You agree that selecting “Agree & Continue” or a similar control constitutes your electronic signature and acceptance of these License Terms, with the same effect as a handwritten signature. Conversion Is Key records the version accepted, the date and time of acceptance, and related account information as a record of your agreement.
