1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of websites, services, content, features, communications, and other offerings provided by Conversion Is Key ("Conversion Is Key," "CIK," "we," "us," or "our").

By accessing or using our websites or services, you agree to these Terms to the extent applicable to your interaction with CIK.

Certain products, services, transactions, programs, or engagements may be governed by additional agreements, proposals, order forms, checkout terms, statements of work, service agreements, policies, or other written terms.

Where specific written terms applicable to a particular product, service, or transaction conflict with these general Terms, the specific written terms control with respect to that product, service, or transaction.

These general Terms continue to apply where they do not conflict with those specific terms.

2. Eligibility

CIK's general websites and services are intended for individuals who are at least 18 years old.

By entering into a transaction or agreement with CIK, you represent that you have legal authority to enter into that transaction or agreement for yourself or for the business or organization you represent.

3. U.S.-Based Operations and International Use

Conversion Is Key operates from the United States.

Our websites, products, information, and services may be accessible to or offered to customers and visitors internationally.

International accessibility does not constitute a representation or guarantee that every website feature, service, practice, or offering complies with every law, regulatory framework, certification, or technical standard of every jurisdiction worldwide.

Users are responsible for complying with laws applicable to their own use where appropriate, subject to rights and obligations that applicable law does not permit the parties to waive.

Where non-U.S. law applies to a particular interaction notwithstanding our U.S.-based operations, applicable obligations will be addressed as required by law.

4. Conversion Is Key Services

CIK operates and develops multiple services, brands, programs, technologies, and business initiatives.

These may include website and digital services, marketing services, automation, artificial intelligence, local business marketing, educational resources, networking, advertising opportunities, consulting, affiliate or referral relationships, and other offerings.

CIK may add, modify, discontinue, reorganize, or replace features, services, programs, or offerings from time to time.

The availability of a feature on a website does not necessarily mean that the feature will remain available indefinitely.

5. Specific Agreements Control Specific Services

A proposal, service agreement, statement of work, order, checkout agreement, written guarantee, subscription agreement, or other specific written agreement may contain terms that differ from these general website Terms.

When that occurs, the specific written agreement controls the applicable transaction or service to the extent of an actual conflict.

Nothing in these general Terms is intended to eliminate a specific written guarantee, warranty, commitment, cancellation right, refund right, or other contractual obligation expressly provided by CIK in a separate applicable agreement.

6. Pricing, Payments, Cancellations and Refunds

CIK does not maintain one universal pricing, payment, cancellation, or refund policy for every product and service.

Pricing, payment schedules, deposits, recurring charges, cancellation terms, refund eligibility, guarantees, and related financial terms may vary by offering.

The terms presented in the applicable proposal, agreement, order, checkout process, invoice, subscription, or other transaction-specific documentation govern that particular purchase or engagement.

Unless expressly stated otherwise in applicable written terms, the availability of one refund, cancellation, guarantee, or payment arrangement for one CIK offering does not establish the same terms for another offering.

7. Service-Specific Guarantees and Results

Certain CIK services may include a specific written guarantee.

Any such guarantee is governed by the terms applicable to that particular service.

Nothing in these Terms is intended to eliminate or override an express written guarantee provided by CIK.

However, unless expressly guaranteed in writing for a particular service, CIK does not guarantee a particular:

  • search ranking;
  • revenue amount;
  • profit;
  • number of leads;
  • number of customers;
  • conversion rate;
  • audience size;
  • business result;
  • advertising result;
  • AI-platform result; or
  • other specific performance outcome.

Results depend on numerous factors and may vary significantly.

8. Case Studies, Testimonials and Performance Examples

Case studies, testimonials, examples, statistics, metrics, screenshots, demonstrations, and descriptions of prior performance represent particular circumstances.

They should not be interpreted as promises or guarantees that another person or business will receive identical or similar results.

CIK may make minor edits to testimonials for spelling, grammar, length, formatting, or clarity, provided those edits do not materially change the meaning, experience, or results communicated by the person providing the testimonial.

Shortened testimonials should fairly represent the original communication.

CIK should obtain appropriate permission before publicly using a client's name, logo, testimonial, identifiable results, screenshots, photographs, videos, or similar identifiable materials for marketing, case studies, advertising, or portfolio purposes.

Such permission may be included in an applicable service agreement or obtained separately.

9. Conversion Is Key Intellectual Property

Unless otherwise stated in a specific written agreement, CIK retains its rights in original materials and intellectual property created or owned by CIK, including as applicable:

  • names;
  • brands;
  • trademarks;
  • service marks;
  • logos;
  • designs;
  • graphics;
  • written content;
  • videos;
  • training materials;
  • documentation;
  • methodologies;
  • processes;
  • systems;
  • software;
  • website elements;
  • automation;
  • AI-related materials;
  • presentations; and
  • other original intellectual property.

Access to a CIK website or service does not transfer ownership of CIK intellectual property.

You may not copy, reproduce, distribute, sell, license, misappropriate, or commercially exploit protected CIK materials except as permitted by law or authorized in writing.

10. Client and User Materials

Clients and users generally retain ownership of materials they provide to CIK, subject to any applicable third-party rights.

By providing materials to CIK for purposes of receiving services, you grant CIK the permissions reasonably necessary to use, process, reproduce, modify, transmit, display, store, or otherwise handle those materials to provide the requested services and perform applicable obligations.

You represent that you have the rights and permissions reasonably necessary for CIK to use materials you provide for the requested purpose.

Providing materials to CIK for service delivery does not automatically grant CIK permission to use those materials for unrelated advertising, case studies, testimonials, or promotional purposes.

11. Artificial Intelligence and Automation

CIK may use artificial intelligence, automation, algorithms, and related technologies in connection with website operations, communications, analysis, content, workflows, service delivery, and other business functions.

CIK may also provide AI-enabled functionality, including A.C.E.

AI and automated systems can produce inaccurate, incomplete, outdated, or inappropriate outputs.

Users should exercise appropriate judgment before relying upon AI-generated information.

Unless expressly provided as part of an appropriately qualified professional engagement, AI-generated or automated information is not a substitute for legal, medical, financial, accounting, tax, or other regulated professional advice.

Do not submit passwords, Social Security numbers, financial-account credentials, or similarly sensitive information through ordinary AI/chat interfaces unless specifically requested through an appropriate secure process.

12. Third-Party Platforms and Services

CIK services may rely upon, integrate with, recommend, link to, or otherwise interact with independent third-party platforms, products, providers, and services.

Examples may include website platforms, hosting providers, search engines, social networks, advertising platforms, AI providers, communication systems, payment providers, software providers, and other technology or business services.

CIK does not control independent third parties.

Third-party providers may:

  • change features;
  • change pricing;
  • change policies;
  • modify algorithms;
  • experience outages;
  • restrict accounts;
  • suspend services;
  • discontinue products;
  • alter integrations; or
  • make other decisions outside CIK's reasonable control.

CIK is not responsible for independent third-party acts, omissions, outages, policy changes, algorithm changes, account decisions, or service changes outside CIK's reasonable control.

This section does not eliminate obligations that CIK expressly accepts in a specific written agreement.

13. Affiliate, Referral and Compensated Relationships

CIK may participate in affiliate, referral, partnership, sponsorship, or other compensated relationships.

CIK may receive commissions, referral fees, affiliate compensation, or other benefits from certain recommendations, relationships, products, services, or links.

Not every link, recommendation, product, service, or third-party reference is compensated.

Where a material compensated relationship connected with a specific endorsement or recommendation should be disclosed, CIK intends to provide appropriate disclosure.

14. Acceptable Use

You may not use CIK websites, accounts, systems, services, AI functionality, or other resources to:

  • engage in fraud or unlawful activity;
  • impersonate another person or organization;
  • violate the rights of another person or entity;
  • infringe intellectual-property rights;
  • distribute malicious code;
  • attempt unauthorized access to systems, accounts, data, or networks;
  • interfere with security controls;
  • intentionally disrupt or damage services;
  • misuse A.C.E. or other AI functionality;
  • conduct abusive scraping, automated requests, or other activity that unreasonably burdens CIK systems;
  • attempt to circumvent access controls or usage restrictions; or
  • otherwise use CIK systems in a manner that is unlawful, abusive, deceptive, harmful, or inconsistent with these Terms.

Reasonable ordinary use of publicly available website content and functionality is not prohibited by this section.

15. Accounts and Security

Where CIK provides an account or portal, you are responsible for maintaining the confidentiality of credentials associated with your account and for reasonable activity conducted through your account.

You should notify CIK if you reasonably believe an account or credential has been compromised.

CIK may use reasonable measures to protect accounts, systems, users, clients, and information.

16. Suspension and Termination

CIK may reasonably restrict, suspend, or terminate access to websites, accounts, services, or functionality when appropriate, including in connection with:

  • violation of these Terms;
  • unlawful activity;
  • fraud;
  • abuse;
  • security threats;
  • misuse of systems;
  • nonpayment where applicable;
  • protection of CIK, its users, clients, systems, or third parties; or
  • discontinuation or material modification of a service.

Where a specific written agreement provides different termination, notice, cure, cancellation, refund, or suspension rights, that agreement controls the applicable service.

17. Website and Service Availability

CIK seeks to operate reliable websites and services but does not guarantee that every website, service, AI function, integration, hosting environment, communication system, or third-party connection will always be:

  • uninterrupted;
  • available;
  • error-free;
  • secure;
  • compatible;
  • current; or
  • free from defects.

Maintenance, technical problems, security events, third-party outages, Internet conditions, provider changes, and other events may affect availability.

This section does not override a specific written service-level commitment or other applicable contractual obligation expressly accepted by CIK.

18. Disclaimer of Warranties

To the extent permitted by applicable law, CIK websites and general website content are provided on an "as available" and "as is" basis except where CIK expressly provides a different written warranty or guarantee.

CIK does not make an unlimited warranty that all information, content, AI output, integrations, third-party services, or website functionality will always be accurate, complete, current, uninterrupted, or error-free.

Nothing in this section excludes warranties or rights that applicable law does not permit to be excluded.

19. Limitation of Liability

To the extent permitted by applicable law, CIK will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use general website content or services, including loss of profits, revenue, business opportunities, goodwill, or data, except where applicable law or a specific written agreement provides otherwise.

CIK does not establish one arbitrary universal monetary liability cap through these general website Terms.

A specific service agreement may establish liability limits appropriate to that particular engagement.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

20. Professional-Advice Disclaimer

General information made available through CIK websites, articles, videos, educational materials, AI tools, communications, or other general resources is provided for informational purposes.

Unless CIK expressly enters into an applicable qualified professional engagement, such information should not be treated as legal, medical, financial, tax, accounting, or other regulated professional advice.

Users should consult an appropriately qualified professional when professional advice is required.

21. Third-Party Links

CIK websites may contain links to independent third-party websites, products, platforms, social networks, or services.

A link or reference does not by itself mean that CIK controls, guarantees, or accepts responsibility for the third party.

Independent third parties may have their own terms, privacy practices, security practices, content, pricing, and availability.

CIK's affiliated brands and services should not automatically be considered unrelated third parties merely because they use separate websites or brand identities.

22. Electronic Communications, Records and Signatures

Where legally permitted, CIK may use electronic communications, electronic notices, electronic acknowledgments, electronic records, and electronic signatures in connection with its business.

Where applicable law permits, electronic communications and signatures may satisfy requirements that information or agreements be provided in writing or signed.

Simply visiting a public CIK website does not mean that a visitor has signed or entered into an unrelated service contract.

A specific transaction or agreement may require additional affirmative acceptance.

23. Force Majeure

CIK will not be responsible for delay or failure to perform an obligation when performance is prevented or materially impaired by events genuinely outside CIK's reasonable control, to the extent permitted by applicable law and the applicable agreement.

Such events may include natural disasters, severe weather, war, terrorism, civil unrest, government actions, widespread Internet or infrastructure failures, major third-party platform failures, labor disruptions, epidemics, pandemics, or other comparable events beyond reasonable control.

This provision is not intended to excuse ordinary poor performance or obligations that reasonably remain within CIK's control.

Specific client agreements may contain more detailed force-majeure provisions.

24. Privacy

CIK's collection and handling of personal information is described in the Conversion Is Key Privacy Policy.

The Privacy Policy is incorporated into these Terms where appropriate to the applicable interaction.

25. Changes to These Terms

CIK may update these Terms as its business, services, technology, providers, practices, or applicable legal requirements change.

Published versions should identify an effective or last-updated date.

Where appropriate, CIK may provide additional notice concerning material changes.

CIK does not promise individual notification of every minor administrative or wording change.

Continued use of applicable websites or services after revised Terms become effective may constitute acceptance of the revised Terms where permitted by applicable law and appropriate to the interaction.

26. Governing Law and Dispute Resolution

These Terms are generally governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before initiating formal litigation, the parties are encouraged to attempt in good faith to resolve a dispute informally.

If a dispute cannot be resolved informally, it may be brought in an appropriate court in Florida having jurisdiction over the matter, subject to any non-waivable rights or jurisdictional requirements imposed by applicable law.

These general Terms do not impose mandatory arbitration.

A specific written agreement may contain additional or different dispute-resolution provisions applicable to that agreement.

27. Severability and No Waiver

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions should continue to apply to the extent permitted by law.

CIK's failure to enforce a provision on one occasion does not necessarily waive the right to enforce that provision later.

28. Entire Relationship With Specific Agreements

These Terms govern general use of CIK websites and services but do not replace specific written agreements governing particular transactions, products, or services.

Where a specific written agreement applies, it and these Terms should be interpreted together where reasonably possible.

If there is a direct conflict concerning the specific service or transaction, the applicable specific written agreement controls that conflict.
